These Terms and Conditions (“Terms”) govern your use of Talentropy’s platform and services. By accessing or using Talentropy, you agree to be bound by these Terms. If you do not agree, please discontinue use of the platform.

Each time you access or use Talentropy’s online and/or mobile services, including any browser extension, or plugin (collectively, the “Talentropy Apps”), and any software, service, feature, product, program, and communication (including emails, notifications, and other messages) provided by or on behalf of Talentropy in connection with such services or websites (collectively, the “Platform”), you represent that:

  1. You have read and understood the Talentropy  Privacy Policy.
  2. You agree to the terms and conditions of these Terms as they apply to the entity or entities providing the Talentropy services.

Talentropy is committed to transparency and compliance with U.S. regulations, ensuring a safe, effective, and compliant experience for candidates and companies alike. By using the Platform, you acknowledge that you understand and accept these Terms, including any updates or modifications posted on the Platform.

If you are accessing or using the Platform as an employee or representative of an Employer, you agree to these Terms on behalf of both yourself and your Employer. By doing so, you represent and warrant that you have the authority to bind your Employer to these Terms. If you do not have such authority, you may not use the Platform on behalf of your Employer.

Talentropy owns all intellectual property rights, including copyrights, in the Platform, Talentropy Apps, and services, including compilations of information available through the Platform. Unauthorized use, reproduction, or redistribution of any portion of the Platform or its content is strictly prohibited.

Talentropy reserves the right to reject, remove, or limit visibility of any content uploaded by users (“User Content”), and may disable accounts or restrict access to parts of the Platform at its discretion, with or without notice. While Talentropy may provide reasons for removing content or disabling accounts, it is not obligated to disclose all reasons for such actions. This right will be exercised to protect the interests of Talentropy or its users.

These Terms may be modified from time to time. Talentropy will notify you of changes by reasonable means, such as posting a revised version on the Platform. Changes will not apply retroactively to claims made before the effective date of the updated Terms. Your continued use of the Platform following any modifications constitutes your acceptance of the updated Terms. The “Last Updated” legend at the top of these Terms indicates when they were most recently revised.

Talentropy may, at any time and without liability, modify or discontinue all or parts of the Platform (including access to third-party links), charge or adjust fees for using the Platform, or offer features to certain users at its discretion. These changes are part of Talentropy’s ongoing commitment to improve and refine its services for the benefit of its users.

    1. Eligibility

To use Talentropy, you must be at least 18 years old. By accessing our Platform, you confirm that you meet this age requirement. Employers using Talentropy must have the legal authority to engage in hiring activities and must comply with all applicable U.S. labor laws, including anti-discrimination and equal opportunity regulations. Talentropy reserves the right to restrict or terminate access if eligibility requirements are not met.

     2. Use of the Platform

The Talentropy Platform provides an AI-powered recruitment tool designed to enhance the hiring process for employers and Job Seekers. Job Seekers can submit their CVs, receive job recommendations, and track their application status in a conversational and user-friendly manner. Employers can manage job postings, evaluate Job Seekers, and streamline their hiring processes through an intuitive dashboard.

Job Seekers are responsible for ensuring that all information provided is accurate, complete, and up-to-date. Employers must use the Platform solely for lawful recruitment purposes and agree to maintain confidentiality when handling candidate information. Any misuse of the Platform, including the submission of false information, spamming, or discriminatory practices, is strictly prohibited. Talentropy does not guarantee hiring outcomes or the accuracy of candidate profiles and serves as a facilitator rather than a direct participant in recruitment activities.

System Connectivity and Storage
When accessing the Site, you authorize Talentropy to connect with communication systems necessary for Site operation. Temporary or permanent storage may occur on your device. You can clear data stored on your device by managing your browser’s cookies and cache settings.

Updates and Testing
Talentropy continuously tests and improves the Site to enhance user experience. This may affect features like job recommendations, alerts, or application performance. By using the Site, you acknowledge that Talentropy may implement changes or tests without prior notice.

Suggestions and Recommendations
Talentropy may provide recommendations to improve your experience based on information from other users. These recommendations are offered without warranty, and any decisions you make based on them are at your own risk. Talentropy assumes no liability for any actions taken based on Site recommendations

     3. Terms of Service for Job Seekers

For the purposes of this section, all references to “you” or “your” refer to the individual accessing Talentropy’s services as a Job Seeker. By using Talentropy’s services, you agree to these Terms of Service, as well as the general Terms applicable to all users. In the event of a conflict between the Terms of Service for Job Seekers and the general Terms, the provisions in this section will govern.

     a. Job Seeker Experience

Talentropy provides a conversational and seamless experience for Job Seekers through its AI-powered chat interface. By accessing the Talentropy chat via a unique link provided by employers, you can interact with the platform to upload your resume, share your qualifications, receive job recommendations, and track the status of your applications. This chat-based process simplifies and streamlines your job search, allowing you to apply to positions through links shared on employer job postings or other channels.

You may use Talentropy solely for personal, non-commercial purposes to search for and apply to jobs. You agree to keep the information you provide through the chat accurate, complete, and up-to-date. Talentropy reserves the right to disable or remove your access if the information provided is false, misleading, or violates these Terms.

     b. Login and Authentication for Job Seekers

Unlike traditional platforms that require permanent usernames and passwords, Talentropy offers a simplified authentication process for Job Seekers. Instead of creating a permanent account, candidates access the Talentropy chat via a unique link shared by employers or recruiters. This link serves as the “key” to authenticate the candidate and verify their identity.

The candidate authenticates using their email address or phone number, with SMS authentication. This one-time authentication ensures that the candidate is who they claim to be, but does not permanently associate the candidate with a username or password.

Important:

  • There is no traditional registration process for candidates.
  • The candidate is temporarily associated with the employer conducting the recruitment process, and the authentication process validates that the candidate is a legitimate contact for that employer.

This streamlined, link-based authentication ensures a smooth, secure experience for candidates while safeguarding their personal information. Talentropy does not require or store permanent login credentials, enhancing user privacy while ensuring the integrity of the application process.

      c. Job Seeker Responsibilities

By using Talentropy, you agree to the following:

  1. Application Content: You are solely responsible for reviewing and ensuring the accuracy of all application materials submitted.
  2. Third-Party Interactions: You acknowledge that employers may use third-party systems to process applications and that these systems may experience errors beyond Talentropy’s control.
  3. Employer Policies: Employers are solely responsible for their compliance with employment laws and for offering reasonable accommodations if required under applicable regulations, such as the ADA.

If you require alternative methods of application or accommodation during the hiring process, you must contact the employer directly to make such arrangements. Talentropy is not responsible for the employer’s compliance with these requirements.

      d. Profile and Resume Submission

When you submit your resume or share information through the Talentropy chat, you authorize Talentropy to create a Job Seeker Profile (“Your Profile”) using the details you provide. This Profile is made accessible to employers who generate the unique chat link and distribute it through various job posting channels.

When you submit a resume or application information via the Talentropy platform, including personal data and responses to screening questions or assessments (collectively referred to as “Talentropy Apply”), your actions are governed by these Terms of Service and Talentropy’s Privacy Policy. Any references to “Submit Application,” “Apply Now,” or similar terms on the platform correspond to the Talentropy Apply process. By using Talentropy Apply, you agree to abide by these Terms and are responsible for the accuracy and completeness of all information you submit.

Prior to submitting your application through Talentropy Apply, you will have the opportunity to review the information provided. It is your responsibility to ensure that the contents, including all attached files, are accurate, complete, and submitted to the correct employer. Once your information is shared with an employer (whether it includes your resume, application, responses, or other data), Talentropy cannot control how the employer uses, stores, or discloses that information. If you wish to delete or modify your information, you must contact the employer directly, as Talentropy is not responsible for managing employer-specific application processes.

By using Talentropy Apply, you authorize Talentropy to transmit your application materials to the employers associated with the job postings to which you apply. This transmission may involve automated processing to format, organize, or enhance your application materials for delivery to the employer. Talentropy works to ensure successful delivery but does not guarantee that applications or communications will be received, accessed, or acted upon by the employer. Factors such as technical errors, incorrect contact information provided by the employer, or third-party service malfunctions may affect the delivery process, for which Talentropy assumes no liability.

Employers using Talentropy may leverage third-party services, such as Applicant Tracking Systems (ATS), to manage applications. By submitting your application, you acknowledge that these third-party systems may access and process your data. Talentropy is not responsible for technical malfunctions or errors related to third-party systems.

     e. Job Recommendations and Feedback

Talentropy’s chat-based system may analyze your Profile and provide personalized job recommendations based on your qualifications. Talentropy may highlight skills or qualifications from job postings that align with or are missing from Your Profile. These recommendations and insights are intended solely as suggestions and do not guarantee job interviews, offers, or suitability for a role.

Additionally, Talentropy may offer automated feedback to help you refine your resume or Profile. For example, the system may suggest updates to improve compatibility with applicant tracking systems or highlight areas to enhance based on job requirements. This feedback is provided directly to you via the chat and is not shared with employers. You remain solely responsible for deciding which jobs to apply to and ensuring your resume accurately reflects your qualifications. Talentropy assumes no responsibility for actions taken based on the feedback provided.

     f. Employer Job Postings and Expired Listings

Job postings on Talentropy may expire or be removed before an application is processed by the employer. If you submit an application to an expired or removed posting, it will be void. Talentropy assumes no responsibility for ensuring applications are delivered before a job posting is removed or expires.

Talentropy and its third-party service providers may store your application data even if the job listing is no longer available. The storage of your data is governed by our Privacy Policy and the terms applicable to third-party services used by employers.

     g. Data Accuracy and Employer Discretion

You are solely responsible for ensuring that all information submitted through Talentropy is accurate, up-to-date, and free of sensitive personal data (e.g., Social Security numbers, medical information, or financial details). Employers are responsible for managing their job postings, screening processes, and compliance with applicable laws, including anti-discrimination laws, the Fair Credit Reporting Act, the Americans with Disabilities Act (ADA), and data protection regulations.

Talentropy does not guarantee that an employer will review or respond to your application. Employers have full discretion to evaluate and act on applications as they see fit. Talentropy also cannot guarantee the validity of job postings or offers, and Job Seekers are advised to independently verify the authenticity of any job opportunities before taking actions that may affect their current employment status.

     h. Screening Questions, Assessments, and Employer Communication

Employers may include screening questions or assessments in their application process. Your responses to these questions may influence your application status. By submitting answers through Talentropy, you acknowledge that employers may use automated processes to send rejection notices based on your responses. Talentropy assumes no responsibility for these outcomes, as such processes are initiated and managed by employers.

Employers may also use Talentropy to schedule interviews with candidates who meet certain criteria. While Talentropy facilitates these communications, it does not guarantee the accuracy of interview scheduling or ensure that employers follow up with candidates. It is your responsibility to confirm interview details directly with the employer and to make necessary changes or cancellations if required.

     i. Job Seeker Notifications and Updates

As a Job Seeker using Talentropy, you agree that Talentropy may use the contact information you provide to keep you informed about the status of your applications, interview appointments, reminders, and any other relevant changes in the selection process. This includes sending notifications through your preferred communication channels, such as email, SMS, or WhatsApp.

By submitting your application or engaging with the platform, you consent to receiving such notifications and updates regarding your job applications, interview schedules, and any other process-related alerts. You are responsible for ensuring that your contact information is accurate and up-to-date to receive these notifications. If you no longer wish to receive certain types of notifications, you may update by contacting Talentropy directly.

Please note that some notifications, such as interview reminders or application status updates, may be mandatory for the completion of your job application process. Talentropy will not be held responsible for missed communications if your contact information is outdated or incorrect.

     j. Rejection Notices and Employer Assist Features

Employers may activate features, such as automated rejection notices, to streamline their hiring processes. These notices are sent based on criteria set by the employer, and Talentropy has no discretion over their transmission. Similarly, employers may use automation to schedule interviews or group candidates based on their qualifications. Talentropy’s role in these processes is purely mechanical, and all decisions regarding applications and interviews are made by the employer.

     k. Your Job Seeker Data

When using Talentropy, you may perform various actions, such as searching for jobs, submitting applications, or updating your profile. Talentropy collects, processes, and stores information related to these activities, including but not limited to:

  • Job titles and locations searched.
  • Job postings clicked on or applied to.
  • Activity metrics, such as the time of your most recent activity.
  • Information submitted in your Profile, such as desired salary, qualifications, and past experience.

This data is used to personalize your experience, suggest job opportunities, and improve the platform’s functionality. By using Talentropy, you consent to the collection and analysis of this data, as well as its use to inform employers about your activity, such as when you are online, recently active, or responsive to messages.

If you initiate a job application on an employer’s website or their Applicant Tracking System (ATS) through Talentropy, the platform may collect additional data via automated methods, such as cookies or APIs. This data includes actions you take during your application process. Employers using these tracking methods are responsible for obtaining any required consents under applicable laws. Talentropy is not liable for the employer’s compliance with these requirements or for the functionality of third-party systems.

     l. Class Action Waiver

By using Talentropy, you agree not to participate in any class action against the platform, whether as a plaintiff, class representative, or member. Your acceptance of these Terms, including the class action waiver, is a condition of using Talentropy’s free services. However, you retain the right to pursue individual claims in small claims court, where applicable.

    4. Terms of Service for Employers

These Terms and Conditions (“Terms”) govern your access to and use of the Talentropy platform as an employer (“Employer,” “you,” or “your”). By accessing or using the Talentropy platform, you agree to be bound by these Terms, as well as our Privacy Policy, which forms an integral part of these Terms.

If you do not agree to these Terms, you may not use the Talentropy platform.

    a. Overview of Services

Talentropy provides employers with a comprehensive suite of tools designed to optimize recruitment processes, including:

  • Dashboard Functionality: A user-friendly interface to manage job postings, track applications, and evaluate candidates.
  • Candidate Evaluation Tools: AI-driven features that assess candidate-job compatibility to enhance selection accuracy.
  • Workflow Optimization: Streamlined processes that reduce operational overhead and shorten time-to-hire.
  • Data-Driven Insights: Visual management tools to monitor recruitment performance and improve decision-making.

These services are designed to support efficiency, compliance, and data security throughout your recruitment efforts.

     b. Account Registration and Login

Account Creation:
Employers must register for an account by providing accurate and complete information, including a valid business email address and a secure password.

Account Security:
You are responsible for maintaining the confidentiality of your login credentials. Sharing your login information with unauthorized persons is prohibited. You must notify Talentropy immediately of any suspected unauthorized access or misuse of your account.

Authorized Use:
By registering, you confirm that you have the authority to bind your organization to these Terms. Unauthorized use of the platform, including accessing data or features without proper permissions, is strictly prohibited.

     c. Use of the Platform

Permitted Use:
The Talentropy platform may only be used for legitimate recruitment purposes, such as job posting, candidate evaluation, and communication.

Prohibited Activities:
Employers are prohibited from:

  • Posting discriminatory, misleading, or fraudulent job opportunities.
  • Using the platform to harass, exploit, or harm job seekers.
  • Uploading malware, engaging in phishing, or attempting to bypass platform security.

Content Responsibility:
Employers are solely responsible for the accuracy and legality of all job postings and recruitment materials shared on the platform. Non-compliance may result in removal of content or suspension of access.

     d. Responsibilities of Employers

Compliance with Laws:
Employers are responsible for adhering to all applicable labor, anti-discrimination, and privacy laws, including but not limited to the California Consumer Privacy Act (CCPA), California Privacy Rights Act (CPRA), and other state-specific regulations in Florida and Texas.

Data Protection:
Candidate data must be handled in compliance with applicable data protection laws. Employers may only use this data for recruitment purposes and are prohibited from sharing it with unauthorized parties.

Job Posting and Candidate Selection:

  • Employers must provide accurate and lawful descriptions of job opportunities.
  • Candidate evaluations must be fair, transparent, and non-discriminatory, using Talentropy’s tools responsibly.

Data Security:
Employers must implement appropriate measures to protect the candidate data they access. Breaches of data resulting from employer negligence will be subject to legal and financial consequences.

     e. AI-Driven Recommendations and Tools

Talentropy’s platform includes advanced AI features to streamline recruitment processes. These include:

  • Candidate Matching: Recommendations based on candidate profiles and job requirements.
  • Performance Insights: AI-generated data to evaluate and improve hiring practices.

Employers acknowledge that while these tools provide valuable insights, the final responsibility for hiring decisions rests with them. AI-driven outputs are intended to assist, not replace, human judgment.

     f. Fees and Payments

Subscription Fees:
Certain features of Talentropy’s platform require a paid subscription. Fees, terms of payment, and billing schedules are specified at the time of registration.

Non-Payment:
Failure to pay subscription fees on time may result in suspension or termination of access to paid features.

Refunds:
Refunds are subject to Talentropy’s refund policy, as outlined during the subscription process.

     5. User-Generated Content

Talentropy allows users to post content such as job listings, candidate information, company profiles, reviews, or other materials (“User Content”).

Responsibility for User Content

  • User Content may include opinions, facts, or other information provided by users. Talentropy does not guarantee the accuracy, completeness, or reliability of User Content and assumes no responsibility for its use.
  • Talentropy is not liable for any harmful, offensive, or objectionable User Content that users may encounter.

Content Guidelines
User Content must comply with all applicable laws and Talentropy’s policies, including but not limited to:

  • Content must not contain false, misleading, or fraudulent information.
  • Discriminatory, threatening, abusive, obscene, or otherwise inappropriate content is prohibited.
  • Proprietary or confidential information, such as trade secrets or personal identifiers (e.g., social security numbers, medical data), must not be included.
  • Job postings must be accurate, lawful, and free of illicit or vulgar content.

Content Moderation
Talentropy reserves the right to review, monitor, or remove User Content that violates these Terms or is deemed objectionable. While Talentropy may use automated tools or human moderators, it is under no obligation to monitor or remove specific User Content.

Disclosure of User Content
Talentropy may disclose User Content to third parties, including law enforcement, to comply with legal requirements or protect the rights of others.

     6. Data Use and AI Integration

Talentropy uses data collected from the Site to:

  • Build, train, and improve AI models for job matching and recruitment analytics.
  • Deliver personalized job recommendations, alerts, and insights to employers and candidates.
  • Detects and prevents fraudulent or malicious activity.

AI-generated outputs are based on anonymized and aggregated data and are intended to enhance recruitment decisions. Employers and candidates are responsible for validating AI recommendations before taking action.

     7. License to User Content and Feedback

When you provide User Content on the Talentropy platform, you grant Talentropy a license to use it for the purposes outlined below.

Grant of License

By submitting, posting, or otherwise providing User Content, you grant Talentropy a nonexclusive, worldwide, perpetual (revocable only as described below), fully paid, royalty-free, transferable, sublicensable (through multiple layers of sublicensees) right and license to:

  • Use, reproduce, distribute, perform, display, prepare derivative works from, and otherwise exploit the User Content you submit.
  • Publish your User Content on the Talentropy platform, partner websites, or third-party sites.
  • Use your User Content to improve and maintain the Talentropy platform, including the development of AI models, recruitment analytics, and other platform features.
  • Promote Talentropy and its services, incorporating your User Content into marketing materials or outreach efforts.

You agree that Talentropy has no obligation to compensate you for using your User Content under this license. To the extent that compensation may be required by applicable law, you waive any and all rights to such compensation to the maximum extent permitted by law.

If you remove your User Content from the Talentropy platform, Talentropy will terminate the licensed use of your content within a commercially reasonable timeframe. Talentropy reserves the right to refuse to post, display, or distribute any User Content at its sole discretion.

Use of Names and Trademarks

You also grant Talentropy, its affiliates, and sublicensees a license to use your name, username, trademarks, and logos in connection with:

  1. Any of your User Content.
  2. Marketing materials containing or referencing your User Content.
  3. Promotional activities, such as keyword usage for third-party search engines.

If your User Content includes your name, likeness, voice, or image, you irrevocably waive all claims related to rights of publicity or any similar claims that arise from Talentropy’s exercise of the license granted herein.

User Representations and Warranties

By providing User Content, you represent and warrant that:

  1. You own the User Content or have the legal right to grant this license.
  2. Your User Content and Talentropy’s use of it do not violate applicable laws or infringe on the rights of any third party, including intellectual property, privacy, or publicity rights.
  3. You will cover any royalties, fees, damages, or other liabilities arising from Talentropy’s use of your User Content.

You agree to defend, indemnify, and hold Talentropy harmless from any claims related to the User Content you provide.

If you wish to revoke this license, you must submit a written request to support@talentropy.ai including proof of ownership and detailed information about the User Content to be removed.

     8. Site Rules

By using the Talentropy platform, you agree to the following rules and policies:

Prohibited Actions

You may not, directly or indirectly:

  • Access the Site using methods or tools other than the public web interface provided by Talentropy.
  • Provide false, fraudulent, or misleading information.
  • Interfere with the Site’s functionality through unauthorized code, data, or other disruptive actions.
  • Access, collect, or process personal data without permission.
  • Submit bulk job applications or User Content using unauthorized automated tools.
  • Use the platform to harass or harm users, including violating their privacy, intellectual property, or other rights.
  • Promote illegal activities, pyramid schemes, or multi-level marketing (MLM) programs.
  • Post highly sensitive personal information, such as social security numbers, medical data, or background checks.
  • Scrape, crawl, or data-mine any part of the Site without prior written consent from Talentropy.

Content Moderation

Talentropy reserves the right to monitor, review, and remove any content that violates these rules, disrupts the Site, or is otherwise objectionable. Violations may result in account suspension or termination.

     9. Accessing Third-Party Sites and Services

The Talentropy platform may link to third-party websites (“External Sites”) or integrate with third-party services. These include, but are not limited to, applicant tracking systems, background check services, and other recruitment tools.

Third-Party Responsibility

Talentropy is not responsible for the content, availability, or actions of External Sites. By interacting with External Sites, you are contracting directly with those third parties and are subject to their terms and privacy policies.

Talentropy assumes no liability for disputes, damages, or unauthorized data use related to your engagement with third-party services accessed through the Site.

Indemnification

By using third-party services linked through Talentropy, you agree to indemnify and hold Talentropy harmless from any claims arising out of your use of such services.

    10. Creating and Accessing Your Account

Employer Login

Employers access the Talentropy platform through a URL using a traditional login system that requires an email address and a password. It is your responsibility to provide accurate, complete, and up-to-date information when creating an account. You are prohibited from creating multiple accounts or using automated methods to register accounts without prior authorization.

Account Security
Employers are responsible for maintaining the confidentiality of their login credentials, including their email address and password. Sharing login credentials is strictly prohibited. Any activity conducted under your account will be considered your responsibility. If you suspect unauthorized access to your account, contact support@talentropy.ai immediately.

Candidate Authentication

Candidates do not create traditional accounts with permanent login credentials. Instead, candidates access the platform via a link shared through web sources, a recruiter, or an employer.

  • Authentication Method: Candidates are authenticated using their email address or phone number. This method serves as a temporary “key” to verify identity and secure access to their data.
  • No Continuous User Account: Talentropy does not maintain continuous user credentials for candidates. The authentication process ensures that data shared belongs to the verified individual.

Data and Authentication Management

Employers and candidates are encouraged to follow best practices for securing their credentials and authentication methods. Talentropy is not liable for damages resulting from unauthorized account access due to negligence in securing login credentials.

     11. Contact Information

Contact Methods

Talentropy may contact you using the information provided during registration or through other verified sources. Communications may occur via:

  • Email.
  • Phone (including mobile or SMS).

By providing your contact information, you confirm that you are the authorized user of the provided contact details and consent to being contacted by Talentropy for platform-related purposes.

SMS Communication

  • By providing a phone number, you agree to receive calls and text messages, including for job alerts, recruitment events, or updates.
  • Unsubscribing: To stop receiving text messages, reply “STOP” to any Talentropy SMS message. Note that this action only unsubscribes you from that specific type of SMS communication. Additional unsubscribing may be required for other SMS services you have opted into, such as hiring events or application updates.

Email Communication

You can manage your email preferences or unsubscribe from marketing emails by sending an email to support@talentropy.a. Note that unsubscribing from marketing emails does not stop other essential communications, such as updates about your job postings or application statuses.

Public Information and Employer Access

For candidates, Talentropy may make certain aggregated and publicly available data accessible to employers for limited purposes, such as connecting candidates to job opportunities.

  • Opt-Out Options: Candidates can remove their publicly available data by following the instructions provided in communications or submitting a formal request to Talentropy.
  • Data Usage by Employers: Employers may use candidate information only for recruitment-related activities. Unauthorized use, such as sharing or reselling data, is strictly prohibited.

Talentropy cannot control how third parties may use your data if you provide it to them directly through the platform or other interactions.

     12. Security and Liability
